PREAMBLE
We, the Founders and Members of Rise Of Youth Foundation, united by the principles of humanity, democracy, equality, justice, youth empowerment, education, environmental protection, social welfare, and national development, hereby adopt and establish these Bylaws and Constitution for the effective governance and transparent functioning of the organization as a non-profit institution under Section 8 of the Companies Act, 2013 of India.
The Foundation shall work with integrity, accountability, inclusiveness, and dedication for the welfare of society and empowerment of youth across India.

ARTICLE 1 – NAME OF THE ORGANIZATION
The name of the organization shall be:
“RISE OF YOUTH FOUNDATION”
The organization shall operate as a Non-Profit Section 8 Company under the Companies Act, 2013 of India.

ARTICLE 2 – REGISTERED OFFICE
1. The Registered Office of the Foundation shall be situated in India at an address approved by the Board of Directors.
2. The office may be shifted to any other place in accordance with legal procedures and approval of the competent authority.

ARTICLE 3 – LEGAL STATUS
1. The Foundation shall be a non-governmental, non-political, secular, and non-profit organization.
2. The income, property, and funds of the Foundation shall be used solely for promoting its objectives.
3. No portion of the income or assets shall be distributed among members, directors, or office bearers except lawful reimbursement of expenses or salaries approved by the Board.
4. The Foundation shall function in accordance with the Constitution of India and all applicable laws.

ARTICLE 6 – OBJECTIVES OF THE FOUNDATION
The objectives of the Foundation shall include but not be limited to:
6.1 Youth Empowerment
Organizing leadership programs, workshops, and youth development initiatives.
Promoting entrepreneurship, innovation, digital literacy, and skill development.
6.2 Education & Awareness
Supporting education for underprivileged children and youth.
Conducting seminars, awareness campaigns, career counseling, and scholarship initiatives.
6.3 Health & Social Welfare
Organizing health camps, blood donation drives, awareness programs, and humanitarian support activities.
Promoting mental health awareness and healthy lifestyles.
6.4 Anti-Drug & Social Awareness Campaigns
Conducting “Nasha Mukta Bharat” and anti-drug awareness programs.
Working against substance abuse and social evils affecting youth.
6.5 Women & Child Welfare
Supporting women empowerment, child rights, gender equality, and protection of vulnerable groups.
6.6 Environmental Protection
Conducting plantation drives, cleanliness campaigns, waste management awareness, and environmental conservation projects.
6.7 Disaster Relief & Humanitarian Aid
Providing assistance during natural disasters, emergencies, and humanitarian crises.
6.8 Sports, Culture & Arts
Promoting sports, arts, literature, cultural heritage, and creative activities among youth.
6.9 Collaboration
Collaborating with government bodies, NGOs, educational institutions, corporations, and international organizations for lawful and charitable purposes.

ARTICLE 7 – MEMBERSHIP
7.1 Eligibility
Any individual above the age of 18 years who supports the objectives and values of the Foundation may become a member without discrimination based on religion, caste, gender, language, ethnicity, or region.

7.2 Categories of Membership
a) Founder Members
Individuals who established the Foundation.
b) Executive Members
Members holding official positions in the Governing Body.
c) General Members
Active members participating in activities and programs.
d) Volunteer Members
Individuals voluntarily contributing to Foundation activities.
e) Honorary Members
Distinguished individuals recognized for exceptional contribution to society or the Foundation.

7.3 Rights of Members
Members shall have the right to:
Participate in meetings and programs.
Vote in organizational matters (except volunteer/honorary members unless approved).
Contest elections if eligible.
Receive updates and reports of the Foundation.

7.4 Duties of Members
Every member shall:

7.5 Suspension or Termination
Membership may be suspended or terminated for:

8.2 Powers & Responsibilities
The Governing Body shall:
Manage the affairs and assets of the Foundation.
Approve policies, projects, budgets, and programs.
Ensure legal compliance and transparency.

Recruit employees, consultants, and volunteers when necessary.

8.4 Removal, Suspension & Disciplinary Action
Any office bearer, director, member, or representative of the Foundation may be suspended, removed, or subjected to disciplinary action by a two-thirds majority vote of the Governing Body on the following grounds:
Misconduct
Abuse of power
Financial misconduct or corruption
Negligence of duties
Violation of the bylaws, policies, or lawful decisions of the Foundation
Activities damaging the reputation, integrity, or objectives of the Foundation
Involvement in unlawful activities
Promoting personal political agendas or using the Foundation for political purposes
Bringing political influence, political campaigning, party promotion, or politically motivated activities into the organization
Misusing the name, platform, programs, or resources of the Foundation for political benefit or propaganda
The Foundation shall remain strictly non-political and independent in nature. No member or office bearer shall use the organization directly or indirectly for political interests, political party activities, or personal political gain.
Before any removal or disciplinary action is finalized, the concerned individual shall be provided a fair opportunity to present an explanation or defense before the Governing Body.

ARTICLE 9 – MEETINGS
9.1 Annual General Meeting (AGM)
The AGM shall be held once every financial year.

11.2 Bank Accounts
Bank accounts shall be opened in the name of the Foundation and operated jointly by authorized signatories approved by the Board.

ARTICLE 15 – AMENDMENT OF BYLAWS
These bylaws may be amended by approval of two-thirds majority of the Governing Body or General Body, subject to applicable laws.

In the event of dissolution:
